Agreement governing Host services provided through the Voice Tamil platform.
This Host / Independent Service Provider Agreement (“Agreement”) is entered into between:

hereinafter referred to as the “Host”.
The Platform Operator and Host are individually referred to as a “Party” and collectively as the “Parties”.
1.1 Voice Tamil is a mobile application that facilitates voice-based conversations between users and available hosts.
1.2 The Host wishes to provide voice conversation and related engagement services through the Voice Tamil platform.
1.3 This Agreement sets out the terms under which the Host may provide such services and receive payouts from the Platform Operator.
1.4 The Host understands that Voice Tamil is a technology platform that facilitates connections between users and hosts and does not guarantee any particular number of calls, users, call duration or earnings.
2.1 The Host provides services to the Platform Operator as an independent service provider.
2.2 Nothing in this Agreement is intended to create an employer-employee relationship, partnership, joint venture or agency relationship between the Host and the Platform Operator, subject to applicable law.
2.3 The Host is responsible for deciding when they wish to make themselves available to receive calls.
2.4 The Host is not required to maintain fixed working hours unless otherwise separately agreed in writing.
2.5 The Host may make themselves available or unavailable through the platform according to their own schedule, subject to reasonable platform rules.
2.6 The Host is not entitled to employee benefits such as paid leave, provident fund, gratuity, bonus or other employment benefits unless such entitlement arises under applicable law.
2.7 The Host is responsible for their own personal expenses associated with providing services through the platform.
The Host confirms that:
Voice Tamil may conduct identity verification before or during the Host's participation on the platform.
The Host may provide services including:
The Host shall only provide services permitted by Voice Tamil and applicable law.
5.1 The Host may choose when to become available on Voice Tamil.
5.2 The Host is not guaranteed a minimum number of calls.
5.3 The Host is not guaranteed a minimum number of users.
5.4 The Host is not guaranteed any minimum income.
5.5 Call allocation may depend on user demand, Host availability, platform functionality, user preferences, technical conditions and other operational factors.
5.6 The Host may stop accepting calls by becoming unavailable through the platform.
6.1 The Host may receive a payout based on eligible voice-call duration.
6.2 The applicable payout rate shall be communicated by Voice Tamil through the Host dashboard, written communication or another official communication channel.
Current Host Payout Rate: ₹________ per eligible minute.
6.3 The payout shall generally be calculated using the call duration recorded by the Voice Tamil platform.
6.4 The Platform Operator may use its platform records to calculate eligible call duration and corresponding Host payouts.
6.5 Calls or activity determined to be fraudulent, manipulated, technically invalid or otherwise ineligible may be excluded from payout.
6.6 Voice Tamil may establish minimum payout thresholds and payout cycles.

6.7 Payouts shall be made to the verified bank account, UPI account or other approved payment method provided by the Host.
6.8 The Platform Operator may deduct or withhold TDS or other amounts where required by applicable law.
6.9 The Host is responsible for providing accurate payment and tax information.
The Host expressly understands that:
8.1 Users may purchase coins, credits or other paid services offered through Voice Tamil.
8.2 User payments are made to the Platform Operator or the applicable payment provider for Voice Tamil services.
8.3 The Host shall not independently collect payments from users for calls conducted through Voice Tamil.
8.4 The Host shall not request users to transfer money directly to the Host in connection with Voice Tamil calls.
8.5 The Host shall not provide personal bank account, UPI or other payment information to users for the purpose of bypassing Voice Tamil's payment system.
8.6 Host payouts are separately calculated and paid by the Platform Operator under this Agreement.
The Host shall not:
Serious violations may result in immediate suspension or termination.
10.1 The Host may have access to limited user information solely to provide services through Voice Tamil.
10.2 The Host shall treat such information as confidential.
10.3 The Host shall not copy, sell, publish, disclose or misuse user information.
10.4 The Host shall not use information obtained through Voice Tamil to contact users outside the platform for unauthorised purposes.
10.5 The Host shall take reasonable steps to protect personal information known to them through Voice Tamil.
10.6 These obligations continue after termination.
11.1 To the extent permitted by applicable law, Voice Tamil may monitor platform activity for safety, fraud prevention, quality control, dispute resolution, technical troubleshooting, and compliance.
11.2 Where calls or interactions are recorded, recordings shall be handled in accordance with applicable law and the Voice Tamil Privacy Policy.
11.3 The Host agrees to cooperate with reasonable investigations concerning fraud, abuse, safety or platform-rule violations.
12.1 Voice Tamil may require Hosts to complete identity verification.
12.2 The Host shall provide genuine and accurate information.
12.3 The Host shall not submit another person's identity documents or operate an account using another person's identity.
12.4 Voice Tamil may suspend access where identity verification cannot be completed or where information appears false or fraudulent.
13.1 The Host may provide a profile photograph, name, introduction, biography or other information for display on Voice Tamil.
13.2 The Host confirms that any content supplied is genuine and does not knowingly infringe another person's rights.
13.3 The Host grants Voice Tamil permission to display the submitted profile information within the platform for the purpose of operating the service.
13.4 Voice Tamil may remove or restrict profile content that violates applicable law, safety requirements or platform rules.
14.1 The Voice Tamil name, logo, application, software, design, trademarks and other platform materials belong to the Platform Operator or its licensors, as applicable.
14.2 The Host receives no ownership interest in Voice Tamil.
14.3 The Host shall not copy, reverse engineer, reproduce or commercially exploit Voice Tamil's software, branding or proprietary materials.
14.4 The Host shall not represent themselves as the owner, employee, director or authorised representative of Voice Tamil unless expressly authorised.
The Host is generally responsible for their mobile phone, internet connection, headphones or microphone, electricity, personal workspace and other equipment required for calls. Unless expressly agreed otherwise, Voice Tamil is not responsible for these expenses.
16.1 The Host understands that payments received under this Agreement may have tax implications.
16.2 The Platform Operator may deduct TDS or other legally required deductions where applicable.
16.3 The Host shall provide PAN and other information reasonably required for tax compliance.
16.4 The Host remains responsible for complying with their own applicable income-tax and other statutory obligations.
16.5 The Platform Operator may provide applicable payment or TDS documentation where required by law.
The Host agrees to comply with:
Voice Tamil may reasonably update its platform rules when necessary for safety, legal compliance, technical requirements or business operations.
Voice Tamil may temporarily suspend the Host's account where it reasonably suspects:
The Platform Operator may investigate the matter before deciding whether to restore or terminate the account.
19.1 Either Party may terminate this Agreement by reasonable notice, subject to applicable law.
19.2 Voice Tamil may terminate immediately for serious misconduct, fraud, unlawful activity, material breach, safety concerns or serious rule violations.
19.3 After termination, the Host shall stop using the platform as a Host and cease representing themselves as a Voice Tamil Host.
19.4 Verified eligible unpaid amounts accrued before termination shall be processed subject to applicable procedures and deductions.
19.5 Obligations that by nature survive termination, including confidentiality, shall continue.

Voice Tamil does not guarantee uninterrupted availability of the platform.
Access may be affected by:
The Parties shall first attempt to resolve disputes through good-faith communication. Unresolved disputes shall be subject to the laws of India and the jurisdiction of the appropriate courts applicable to the Platform Operator, subject to applicable law.
The Platform Operator may make reasonable changes due to law, regulatory requirements, platform functionality, safety requirements, payment procedures or operations. Where appropriate, material changes shall be communicated to Hosts.
This Agreement, together with the Voice Tamil Terms and Conditions, Privacy Policy and platform rules, constitutes the agreement between the Parties regarding Host services. If any provision is invalid or unenforceable, the remaining provisions continue to apply to the extent permitted by law.
